Our website grants you non-exclusive limited license to use the web templates and other products sold through our website (http://www.woothemes.com) by WooThemes (the “products”) in accordance with these Terms & Conditions (the “license”) issued by our company.

1. WooThemes Club Subscriptions
For the purpose of this Terms & Conditions, WooThemes Club purchases will include both individual theme purchases and the 3 & 6 month club subscription versions of either the Single User or Developer license as described on our website.

1.1 Limited usage granted
Your purchase grants you the rights to use the WooThemes themes on as many concurrent sites as described in the table below. For subscribers, you may continue to use the templates on these concurrent sites after your subscription expires, so the templates are not time-limited (even though your subscription is). Individual template purchases are not time-limited.

If you wish to use the templates for multiple clients or sites, you should purchase the Developer License. The Developer License grants unlimited implementations of WooThemes templates as long as the usage complies with the rest of the Terms & Conditions.

(Note: Developer Subscribers need to renew their subscription if they wish to continue to deploy WooThemes templates to new clients after their existing subscription has expired.)

1.2 Subscription Renewals
Please take note that all subscriptions will be automatically renewed at the end of your subscription period, by our merchant (2Checkout.com). If you wish to cancel your subscription (i.e. you would not like to extend it with a similar extension to your existing one), then you need to notify us via e-mail (support@woothemes.com) at least 7 days prior to the end of your subscription, requesting such a cancellation.

No exceptions will be made in this regard and if your subscription is automatically renewed, we will assume that you have done so with your express permission. No refunds whatsoever will be given in this regard.

2. Modifications
You are authorized to make any necessary modification(s) to our products to fit your purposes. You may not however re-distribute or release any modifications as GPL or otherwise. Please also refrain from deleting our credit text from the template’s header files (header.php and style.css). You are however allowed to delete our credit links from the footer or any other visible place (on the front-end) in the theme. This applies to both individual and club membership purchases.

3. Unauthorized use
You may not place any of our products, modified or unmodified, on a diskette, CD, website or any other medium and offer them for re-distribution or re-sale of any kind without prior written consent from WooThemes. Please contact us if you require any more clarification.

4. Updates
All templates are always designed to be compatible with the latest available version of WordPress, but we can give no guarantee, that older templates will run with future versions of WP. We are however committed to doing our best to make all the themes compatible with future releases of WordPress.

5. Delivery
After we have succesfully received your payment, your WooThemes Subscription or Individual Theme information will be emailed to the email adress you provided. This may take up to 1 hour but usually happens within minutes. If you do not receive an email after this time period, contact us through this website. Upon logging in with the provided credentials, you will have instant access to all our themes and the support forum.

Note: No invoices will be available for your purchases / subscriptions, as the 2Checkout.com sales receipt is deemed to be sufficient financial information.

6. Ownership
You may not claim intellectual or exclusive ownership to any of our products, modified or unmodified. All products are property of WooThemes. Our products are provided “as is” without warranty of any kind, either expressed or implied. In no event shall our juridical person be liable for any damages including, but not limited to, direct, indirect, special, incidental or consequential damages or other losses arising out of the use of or inability to use our products.

7. Refund Policy
Since WooThemes is offering non-tangible irrevocable, digital goods we do not issue refunds after the subscription or individual theme purchase is made, which you are responsible for understanding upon registering at our site.

8. Support
WooThemes offers these templates and designs ‘as is’, with no implied meaning that they will function exactly as you wish or with all 3rd party components and plugins. Further, we offer no support via email or otherwise for installation, customization, administration of WordPress itself.

9. Support Forum Policy
Only WooThemes customers will receive read & write access to our support forum. It is our policy that we will only provide assistance with technical queries on the support forum - and not via the e-mail.

All support documentation (including tutorials) will also be available to all customers.

10. Price Changes
WooThemes reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, a subscription (or any part thereof) with or without notice. Prices of all subscriptions and products, including but not limited to monthly subscription plan fees, are subject to change upon 30 days notice from us. Such notice may be provided at any time by posting the changes to the WooThemes website.

11. Warranty
WooThemes does not warranty or guarantee these templates in any manner. We cannot guarantee they will function with all 3rd party components, plugins or web browsers. Browser compatibility should be tested against the demonstration templates on the demo server. Please ensure that the browsers you use will work with the templates as we can not guarantee that WooThemes templates will work with all browser combinations.
